IN-COUNTRY AGENT AGREEMENT

This In-Country Agent Agreement (the “Agreement”) is effective as of (“Effective Date”) the digital signatures audit date below, by and between:

WHEREAS, Party A is engaged in the business of manufacturing, marketing, and selling hyperbaric chambers and related equipment under the OxyEdge™ brand and other brands; and

WHEREAS, Party A seeks to expand its manufacturing and supply chain operations in the People’s Republic of China and requires a trusted in-country agent to act on its behalf in facilitating factory relationships and supply chain operations; and
鉴于,甲方寻求在中华人民共和国扩展其制造和供应链业务,并需要一名可信赖的境内代理代表其促进工厂关系和供应链运营;且
WHEREAS, Party B possesses relevant industry knowledge, local business relationships, and the ability to act as Party A’s agent within China; and
鉴于,乙方具有相关行业知识、当地商业关系及在中国境内作为甲方代理的能力;且
WHEREAS, the parties have an existing commercial relationship and acknowledge that the mutual growth of both parties’ businesses serves as a foundation for this engagement;

NOW, THEREFORE, in consideration of the mutual promises herein, the parties agree as follows:

Article 1 – Appointment & Authority
1.1 Party A hereby appoints Party B as its non-exclusive in-country agent in the People’s Republic of China for the purposes described in this Agreement.
1.1 甲方特此委任乙方为其在中华人民共和国的非独家境内代理,用于本协议所述目的。
1.2 Party B shall act solely on behalf of and in the best interests of Party A in all matters related to this Agreement. Party B is not authorized to bind Party A to any contract, obligation, or commitment without Party A’s prior written approval.
1.2 乙方在与本协议相关的所有事务中应仅代表甲方行事并以甲方的最佳利益为准。未经甲方事先书面批准,乙方无权代表甲方签订任何合同、义务或承诺。
1.3 Party B shall identify itself as an authorized agent of Party A when conducting business on Party A’s behalf, and shall not misrepresent the scope of its authority.
1.3 乙方在代表甲方开展业务时应表明其为甲方授权代理的身份,不得虚报其权限范围。
Article 2 – Scope of Services
Party B shall perform the following services on behalf of Party A:
乙方应代表甲方履行以下服务:
(a) Factory Sourcing & Vetting. Identify, evaluate, and recommend manufacturing facilities capable of producing products that meet Party A’s quality standards, specifications, and brand requirements.
(一)工厂寻源与审核。识别、评估并推荐能够按照甲方质量标准、规格和品牌要求生产产品的制造设施。
(b) Contract Negotiation. Assist in negotiating terms, pricing, and conditions with factories and suppliers on Party A’s behalf, ensuring that Party A receives competitive pricing and favorable terms.
(二)合同谈判。代表甲方协助与工厂和供应商进行条款、价格和条件的谈判,确保甲方获得具有竞争力的价格和有利条款。
(c) Quality Inspection & QC Oversight. Conduct or coordinate pre-production, in-process, and pre-shipment quality inspections to ensure products conform to Party A’s specifications and applicable safety standards.
(三)质量检验与质控监督。执行或协调产前、生产过程中及出货前的质量检验,确保产品符合甲方规格及适用安全标准。
(d) Logistics & Shipping Coordination. Assist in coordinating production schedules, shipping logistics, customs documentation, and delivery timelines to ensure timely fulfillment of Party A’s orders.
(四)物流与发货协调。协助协调生产计划、运输物流、海关文件和交货时间表,确保甲方订单及时履行。
Article 3 – Agent Obligations
3.1 Party B shall perform all services with reasonable care, skill, and diligence consistent with industry standards.
3.1 乙方应以符合行业标准的合理注意、技能和勤勉履行所有服务。
3.2 Party B shall promptly inform Party A of any material developments, risks, or issues that may affect Party A’s manufacturing, supply chain, or business interests in China.
3.2 乙方应及时告知甲方可能影响甲方在中国的制造、供应链或商业利益的任何重大进展、风险或问题。
3.3 Party B shall maintain accurate records of all activities performed under this Agreement and make such records available to Party A upon reasonable request.
3.3 乙方应保留根据本协议执行的所有活动的准确记录,并在甲方合理要求时向其提供此类记录。
3.4 Party B shall comply with all applicable laws and regulations of the People’s Republic of China in the performance of its duties under this Agreement.
3.4 乙方在履行本协议项下职责时,应遵守中华人民共和国所有适用的法律法规。
Compensation for services rendered under this Agreement, if any, shall be addressed in a separate written addendum executed by both parties. Such addendum, once executed, shall be incorporated into and form part of this Agreement.
根据本协议提供的服务的报酬(如有)应在双方签署的单独书面附录中约定。该附录一经签署,即纳入本协议并构成其一部分。
Article 5 – Confidentiality
5.1 Definition. “Confidential Information” means all information concerning or related to the business, vendors, costs, operations, assets, and affairs of either party, including but not limited to: financial information, business plans, product specifications, manufacturing processes, factory contacts and relationships, pricing and cost structures, supplier lists, customer and prospect lists, marketing strategies, trade secrets, intellectual property, and any other proprietary information disclosed by either party in connection with this Agreement.
5.1 定义。“保密信息”指与任一方的业务、供应商、成本、运营、资产和事务有关的所有信息,包括但不限于:财务信息、商业计划、产品规格、生产工艺、工厂联系人及关系、价格和成本结构、供应商名单、客户和潜在客户名单、营销策略、商业秘密、知识产权以及任一方在本协议项下披露的任何其他专有信息。
5.2 Obligations. Each party agrees to hold all Confidential Information of the other party in strict confidence, to use it solely for the purposes of this Agreement, and not to disclose it to any third party without prior written consent of the disclosing party.
5.2 义务。双方均同意对对方的所有保密信息严格保密,仅为本协议目的使用,未经披露方事先书面同意,不得向任何第三方披露。
5.3 Permitted Disclosure. Access to Confidential Information shall be limited to employees, agents, or representatives with a legitimate need to know who are bound by confidentiality obligations no less restrictive than those herein.
5.3 允许的披露。保密信息的访问权限应限于有合理知情需要且受不低于本协议规定的保密义务约束的员工、代理人或代表。
5.4 Exceptions. Confidential Information does not include information that: (a) was already known to the receiving party prior to disclosure; (b) was independently developed without use of the Confidential Information; (c) becomes publicly available through no fault of the receiving party; (d) is rightfully obtained from a third party not under a confidentiality obligation; or (e) is required to be disclosed by law or court order, provided prompt written notice is given to the disclosing party.
5.4 例外。保密信息不包括以下信息:(一)接收方在披露前已知悉的信息;(二)未使用保密信息而独立开发的信息;(三)非因接收方过错而成为公开信息;(四)从不受保密义务约束的第三方合法获取的信息;或(五)法律或法院命令要求披露的信息,但应及时书面通知披露方。
5.5 Survival. Confidentiality obligations shall survive termination of this Agreement indefinitely with respect to trade secrets, and for a period of three (3) years for all other Confidential Information.
5.5 存续。保密义务对于商业秘密应在本协议终止后无限期存续,对于其他保密信息应存续三(3)年。
Article 6 – Non-Circumvention
6.1 Neither party shall, for a period of three (3) years from the Effective Date, without the prior written consent of the other party, bypass, circumvent, or attempt to circumvent the other party to deal directly with any of the other party’s introduced contacts, factories, customers, vendors, or business relationships.
6.1 未经对方事先书面同意,任一方不得在生效日起三(3)年内绕过或试图绕过对方,直接与对方介绍的联系人、工厂、客户、供应商或业务关系进行交易。
6.2 Party B shall not introduce Party A’s factory contacts, pricing, or product specifications to any competing buyer or entity without Party A’s prior written consent.
6.2 未经甲方事先书面同意,乙方不得向任何竞争买家或实体披露甲方的工厂联系人、价格或产品规格。
6.3 Party A shall not use Party B’s factory relationships, supplier contacts, or local business connections to bypass Party B in future dealings with those contacts.
6.3 甲方不得利用乙方的工厂关系、供应商联系人或当地业务关系绕过乙方与这些联系人进行未来交易。
Article 7 – Non-Disparagement
7.1 Neither party shall make any negative or disparaging statements about the other party, whether written or oral, including on social media, during media engagements, or in any public forum.
7.1 任一方不得对对方发表任何负面或诋毁性声明,无论是书面还是口头,包括在社交媒体、媒体活动或任何公开场合。
7.2 This obligation applies during the term of this Agreement and for a period of three (3) years following termination.
7.2 本义务适用于本协议期限内及终止后三(3)年内。
Article 8 – Intellectual Property
8.1 Party A retains all rights, title, and interest in the OxyEdge™ brand, trademarks, logos, product designs, and all associated intellectual property.
8.1 甲方保留对 OxyEdge™ 品牌、商标、标识、产品设计及所有相关知识产权的全部权利、所有权和权益。
8.2 Nothing in this Agreement grants Party B any rights in Party A’s intellectual property. Party B shall not use Party A’s branding, trademarks, or intellectual property except as expressly authorized in writing by Party A for the purposes of performing services under this Agreement.
8.2 本协议不授予乙方对甲方知识产权的任何权利。除甲方为履行本协议服务目的而明确书面授权外,乙方不得使用甲方的品牌、商标或知识产权。
Article 9 – Return of Materials
Upon termination of this Agreement or upon request by Party A, Party B shall promptly return or destroy all documents, records, and materials containing Confidential Information or Party A’s intellectual property, including all copies thereof, within fifteen (15) business days.
本协议终止或甲方要求时,乙方应在十五(15)个工作日内及时退还或销毁所有包含保密信息或甲方知识产权的文件、记录和材料,包括所有副本。
10.1 Both parties acknowledge that any breach of the confidentiality, non-circumvention, or intellectual property provisions of this Agreement may cause irreparable harm for which monetary damages may be inadequate. The non-breaching party shall be entitled to seek injunctive relief in addition to any other remedies available at law or in equity.
10.1 双方确认,违反本协议的保密、禁止规避或知识产权条款可能造成无法用金钱赔偿的不可弥补的损害。非违约方有权在法律或衡平法下可用的其他救济措施之外寻求禁令救济。
10.2 Both parties agree that $10,000.00 USD is a reasonable estimate of liquidated damages per breach occurrence.
10.2 双方同意每次违约的违约金为10,000.00美元,该金额为合理估算。
Article 11 – Term & Termination
11.1 This Agreement shall be effective for three (3) years from the Effective Date and shall automatically renew for successive one (1) year periods unless either party provides sixty (60) days written notice of termination.
11.1 本协议自生效日起有效期为三(3)年,除非任一方提前六十(60)天书面通知终止,否则自动续展一(1)年。
11.2 Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any provision hereof and fails to cure such breach within thirty (30) days of receiving written notice of the breach.
11.2 如一方严重违反本协议任何条款且在收到违约书面通知后三十(30)天内未能补救,另一方可立即书面通知终止本协议。
11.3 Termination does not relieve either party of obligations incurred prior to termination, including confidentiality, non-circumvention, and non-disparagement obligations which shall survive as specified herein.
11.3 协议终止不免除双方在终止前产生的义务,包括本协议规定的保密、禁止规避和禁止诋毁义务应按本协议规定继续存续。
Article 12 – Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, USA. Any disputes shall first be resolved through friendly negotiation. If negotiation fails, disputes shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its rules. English shall be the language of arbitration.
本协议受美国弗吉尼亚州法律管辖并依其解释。争议应先友好协商解决,协商不成时,提交中国国际经济贸易仲裁委员会(CIETAC)按其规则仲裁,仲裁语言为英语。
Article 13 – General Provisions
13.1 Independent Contractor. Party B is an independent contractor and not an employee, partner, or joint venturer of Party A. Nothing in this Agreement creates an employment, partnership, or joint venture relationship.
13.1 独立承包商。乙方为独立承包商,非甲方的雇员、合伙人或合资方。本协议不创设雇佣、合伙或合资关系。
13.2 Severability. If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
13.2 可分割性。如本协议的任何条款被认定无效或不可执行,其余条款应继续完全有效。
13.3 Entire Agreement. This Agreement, together with any executed addenda, constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior agreements and understandings.
13.3 完整协议。本协议连同任何已签署的附录构成双方就其主题事项达成的全部协议,取代所有先前的协议和谅解。
13.4 Amendments. No modification of this Agreement shall be effective unless made in writing and signed by both parties.
13.4 修改。未经双方书面签署,本协议的任何修改均无效。
13.5 No Waiver. Failure by either party to enforce any provision shall not constitute a waiver of that provision or any subsequent breach.
13.5 不弃权。任一方未能执行任何条款不构成对该条款或任何后续违约的弃权。
13.6 Counterparts. This Agreement may be executed in counterparts, including by electronic signature, each of which shall constitute an original.
13.6 副本。本协议可以副本形式签署,包括电子签名,每份副本均构成原件。
Article 14 – Electronic Signatures
14.1 Electronic, scanned, faxed, or emailed signatures shall be deemed legally binding and enforceable with the same force and effect as original ink signatures.
14.1 电子签名、扫描签名、传真签名或电子邮件签名应视为具有法律约束力且可执行,与原始墨迹签名具有同等法律效力。
14.2 This Agreement complies with the United States Electronic Signatures in Global and National Commerce Act (U.S. Public Law 106-229) and applicable international electronic signature laws.
14.2 本协议符合美国《全球和国家商务电子签名法》(美国公法第106-229号)及适用的国际电子签名法律。
This Agreement is executed in English and Simplified Chinese. In the event of conflict between the two versions, the English version shall prevail.
