| This agreement is made between Nationwide Developers LLC, Thrivepoint North LLC, and the undersigned party to establish mutual confidentiality and non-circumvention in all shared business dealings, including customer and shipping data. |
本协议由Nationwide Developers LLC、Thrivepoint North LLC与签署方共同订立，以在所有共享业务交易（包括客户与运输信息）中确立互相保密和防止绕过的原则。 |
1. Non-Circumvention & Confidentiality
- Parties agree not to bypass each other in any business related to this agreement.
- No direct contact or deal with introduced clients or sources without prior written permission.
- All shared contacts, brands and information are confidential and must not be disclosed to third parties.

- 各方同意不在本协议相关业务中绕过对方。
- 未经书面许可，不得直接联系或与引荐的客户或资源达成交易。
- 所有共享的联系人与信息属机密，不得透露给第三方。

2. Liability for Circumvention
- If any party bypasses or circumvents the agreement, they will owe the affected party full lost profit and related legal expenses.

- 若任一方违反本协议，须赔偿受影响方所有损失利润及相关法律费用。

3. Duration
- This agreement is valid for 5 years from the date of last signature and applies to all current and future transactions.

- 本协议自最后签署日起有效期为5年，适用于当前与未来所有交易。

4. Dispute Resolution
- Disputes shall be resolved first through friendly negotiation, then by arbitration in China under CIETAC rules. English will be the arbitration language.

- 争议应先友好协商解决，协商不成时，提交中国国际经济贸易仲裁委员会（CIETAC）按其规则仲裁，仲裁语言为英语。

5. Electronic Signatures
- Electronic, scanned, faxed, or emailed signatures are legally binding and enforceable.
- This contract complies with U.S. Public Law 106-229 and international electronic signature laws.

- 电子签名、扫描件、传真或电子邮件签名具有法律效力，可执行。
- 本合同符合美国公共法106-229及国际电子签名法律。
