Exclusivity Rider to Master Purchase Agreement
This Exclusivity Rider (“Rider”) is entered into by and between:
OEM: Zhuji Caris Materials Technology Co Ltd
Buyer: Thrivepoint North LLC dba OxyEdge™ / Hyperbaric Health
This Rider supplements and forms an integral part of the Master Purchase Agreement named: Zhuji Caris Materials-OxyEdge signed on this platform: 10/13/2025
1. Exclusive Distribution Rights
OEM hereby grants Buyer the sole and exclusive right to distribute OxyEdge™ branded products in the United States of America.
2. Covered Products
The following models are covered under this exclusivity:
- OxyEdge Orion Core
- OxyEdge Orion Revive
- OxyEdge Orion Elite
- OxyEdge Orion Pro
- OxyEdge Quantum
- OxyEdge Orbit
- OxyEdge Mini
- 2 ATA Cube Chambers
3. No Paid Advertising by OEM
OEM shall not engage in any paid advertising, including but not limited to online ads, sponsored search, social media campaigns, or media placements, that may interfere with or compete against Buyer’s distribution or marketing efforts.
4. Enforcement
Any violation of this Rider shall constitute a material breach of the Master Purchase Agreement, entitling Buyer to injunctive relief and damages, including recovery of documented marketing expenditures.
Execution
This Rider is executed in English and Simplified Chinese. In case of conflict, the Chinese version shall prevail.

主采购协议独家权附加协议
本独家权附加协议（“附加协议”）由以下双方订立：
OEM： 浙江氧义医疗设备有限公司
买方： Thrivepoint North LLC，OxyEdge™ / Hyperbaric Health 品牌
本附加条款补充并构成主采购协议的组成部分，该协议名为：
诸暨卡瑞斯材料-OxyEdge，于2025年10月13日在此平台上签署。
1. 独家分销权
OEM 在此授予买方在美国境内对 OxyEdge™ 品牌产品的唯一且独家分销权。
2. 涉及产品
以下型号在本独家权范围内：
- OxyEdge Orion Core
- OxyEdge Orion Revive
- OxyEdge Orion Elite
- OxyEdge Orion Pro
- OxyEdge Quantum
- OxyEdge Orbit
- OxyEdge Mini
- 2 ATA Cube Chambers
3. OEM 不得投放付费广告
OEM 不得从事任何形式的付费广告，包括但不限于线上广告、赞助搜索、社交媒体推广或媒体投放，以干扰或与买方的分销或市场推广产生竞争。
4. 执行
任何违反本附加协议的行为均视为对主采购协议的重大违约，买方有权获得禁令救济及赔偿，包括已记录的市场推广支出。

本附加协议以中英文签订。如有冲突，以中文版本为准。
