| Article I – Purpose OEM shall manufacture and supply hyperbaric oxygen chambers and related equipment, branded and marketed exclusively under the Buyer’s OxyEdge™ brand for distribution within the United States of America. |
第一条 – 目的 OEM 应根据买方 OxyEdge™ 品牌的要求，生产并供应高压氧舱及相关设备，且在美国境内由买方独家分销和销售。 |
| Article II – Branding & Intellectual Property The Buyer holds all rights to the OxyEdge™ brand, including design adjustments directed by Scott Aadal. OEM shall not replicate or distribute OxyEdge™ branded or substantially similar products without Buyer’s written consent in the USA. |
第二条 – 品牌与知识产权 买方拥有 OxyEdge™ 品牌的所有权，包括由 Scott Aadal 提出的设计调整。未经买方书面同意，OEM 不得复制或分销 OxyEdge™ 品牌或与其实质相似的产品。 |
| Article III – Exclusivity & Non-Circumvention 1. Buyer is granted exclusive distribution rights in the USA for all OxyEdge™ products. 2. OEM shall not sell, directly or indirectly, OxyEdge™ branded or substantially similar products to third parties outside Buyer’s network. 3. OEM acknowledges that Scott Aadal has been recognized as an expert in hyperbaric oxygen therapy, and Thrivepoint North LLC will launch a nationwide campaign (TV, radio, social media, Google, Microsoft, major media). Any unauthorized sales would cause irreparable harm to OxyEdge™. |
第三条 – 独家权与禁止绕行 1. 买方在美国享有 OxyEdge™ 产品的独家分销权。 2. OEM 不得直接或间接向买方网络以外的第三方销售 OxyEdge™ 品牌或与其实质相似的产品。 3. OEM 承认 Scott Aadal 已被公认为高压氧治疗领域的专家，Thrivepoint North LLC 将开展全国性广告活动（电视、电台、社交媒体、Google、Microsoft、主流媒体）。任何未经授权的销售将对 OxyEdge™ 品牌造成无法弥补的损害。 |
| Article IV – Product Quality & Compliance OEM warrants all Products meet Buyer’s specifications, applicable safety standards, and are free from defects. |
第四条 – 产品质量与合规性 OEM 保证所有产品均符合买方规格，符合适用的安全标准，并且无材料或工艺缺陷。 |
| Article V – Warranties & Representations All warranties extend to Buyer and its OxyEdge™ customers. Buyer may represent warranties under its brand, with full recourse to OEM for service and parts. |

| Article VI – Shipping Terms All shipping shall be Delivered Duty Paid (DDP), door-to-door or to Port of Long Beach, USA, including shipping, customs clearance, import duties, taxes. OEM bears costs and risks until delivery and clearance at LAX, insured at 110% invoice value. |
第六条 – 运输条款 所有运输应为完税后交货（DDP），门到门送至美国长滩港，包括运费、清关、关税及适用税费。在产品交付并在 LAX 清关之前，所有费用和风险由 OEM 承担，并需按发票金额的110%投保。 |
| Article VII – Confidentiality Both parties agree to maintain confidentiality regarding trade secrets, proprietary specifications, and customer information. |
第七条 – 保密条款 双方同意对商业秘密、专有规格和客户信息予以保密。 |
| Article VIII – Term & Termination Agreement remains in effect until terminated with 60 days’ written notice. Termination does not remove obligations prior to termination. |
第八条 – 有效期与终止 本协议自签署之日起生效，直至任一方提前60天书面通知终止为止。协议终止不免除双方在终止前的怡务。 |
| Article IX – Governing Law & Dispute Resolution This Agreement shall be governed by the laws of the PRC. Disputes are resolved by negotiation; failing that, arbitration in Shenzhen, China, in English. |
第九条 – 适用法律与争议解决 本协议受中华人民共和国法律管辖并依其解释。任何争议应首先通过协商解决；协商不成的，应提交中国深圳仲裁，语言为英文。 |
| Article X – Payment Terms - 30% deposit on order confirmation - 70% after inspection and prior to shipment under DDP terms Both parties may later agree in writing to modify payment (including Letter of Credit). OEM will not release goods until final payment confirmed. |
第十条 – 付款条款 - 订单确认后支付30%定金 - 检验合格并在装运前支付70%（DDP 条款下） 双方可书面约定未来修改付款方式（包括信用证）。OEM 在最终付款确认前不得放行货物。 |
| Article XI – Marketing Investment & Brand Protection 1. Buyer shall invest significantly in promoting OxyEdge™ brand products across national advertising channels (TV, radio, social media, Google, Microsoft, major media). 2. Scott Aadal, though not a medical doctor, is publicly recognized as a leading expert in hyperbaric oxygen therapy and will serve as the face of the OxyEdge™ brand. 3. OEM acknowledges that unauthorized distribution or sale of OxyEdge™ branded or similar products outside of Buyer’s network will cause irreparable harm and tortious interference. 4. In the event of breach, Buyer shall be entitled to injunctive relief, damages equal to or greater than documented marketing spend, and immediate termination of this Agreement. |
第十一条 – 市场投资与品牌保护 1. 买方将大力投资于 OxyEdge™ 品牌的全国广告推广（电视、电台、社交媒体、Google、Microsoft、主流媒体）。 2. Scott Aadal 虽非医学博士，但已被公认为高压氧治疗领域的专家，并将作为 OxyEdge™ 品牌的形象代表。 3. OEM 承认，任何未经授权在买方网络以外分销或销售 OxyEdge™ 品牌或与其实质相似的产品，将造成不可弥补的损害并构成侵权干扰。 4. 如有违约，买方有权获得禁令救济，赔偿金额不少于已记录的市场推广费用，并可立即终止本协议。 |
| Annex I – Product Rider The following OxyEdge™ models are covered under this Agreement: 1. OxyEdge Core 2. OxyEdge Revive 3. OxyEdge Elite 4. OxyEdge Pro Series II 5. OxyEdge Quantum 6. OxyEdge Orbit 7. OxyEdge Mini All above models shall be considered proprietary to Buyer under this Agreement. |
附件一 – 产品清单 本协议涵盖以下 OxyEdge™ 型号： 1. OxyEdge Core 2. OxyEdge Revive 3. OxyEdge Elite 4. OxyEdge Pro Series II 5. OxyEdge Quantum 6. OxyEdge Orbit 7. OxyEdge Mini 以上所有型号均视为买方在本协议下的专有产品。 |
| Execution This Agreement is executed in English and Simplified Chinese. In case of conflict, the Chinese version shall prevail. The executed Chinese copy must be downloaded, printed, and stamped with Hangzhou Shuyantingcheng New Materials Technology Co Ltd’s official company chop to be valid. |
签署 本协议以中英文签订。如有冲突，以中文版本为准。中文执行副本须下载、打印，并加盖
杭州舒岩亭城新材料科技有限公司 的公章后方为有效。
